Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CWho website at cwho.com and the CWho SaaS platform (collectively, the "Service") operated by World Corporation ("we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

CWho is a hosted Software-as-a-Service (SaaS) platform that provides web analytics, uptime monitoring, server health tracking, live visitor monitoring, session replays, heatmaps, and status pages for websites and servers owned or operated by our customers.

The Service includes:

  • A JavaScript tracking snippet that customers install on their websites
  • A web dashboard for viewing analytics, uptime, and server health data
  • Automated uptime and health checks via Celery background workers
  • Alerting and notification delivery via email, Slack, Discord, Telegram, and webhooks
  • Public status pages hosted on *.cwho.com subdomains or custom domains
  • A server agent for Linux and Windows servers
  • A REST API (available on Pro and Agency plans)

2. Accounts and Registration

To use CWho, you must create an account with a valid email address and password. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account. By registering, you represent that you are legally capable of entering into a binding contract.

You may not share your account with others or create multiple free accounts to circumvent plan limits. Each account is for use by a single individual or legal entity.

3. Acceptable Use

You agree not to use the Service to:

  • Track websites you do not own or have explicit permission to track
  • Collect or process data in violation of applicable privacy laws (GDPR, CCPA, etc.)
  • Violate any applicable law, regulation, or third-party rights
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service
  • Probe, scan, or test the vulnerability of the CWho infrastructure
  • Introduce malware, viruses, or any malicious code
  • Impersonate any person or entity or misrepresent your affiliation
  • Resell or redistribute the Service without our written consent
  • Use the Service to monitor websites that promote illegal activity, hate speech, or harassment
  • Generate excessive automated traffic to abuse the API or event collection endpoint
  • Circumvent plan limits by technical means (e.g., rotating tracking keys, creating multiple accounts)

We reserve the right to terminate or suspend accounts that violate these terms at our sole discretion without prior notice.

4. Data Collection and Tracking

By installing the CWho tracking snippet on your website, you represent and warrant that:

  • You have the legal right to collect analytics data from your website's visitors
  • Your website's privacy policy discloses the use of third-party analytics tools
  • You comply with all applicable data protection laws in your jurisdiction

CWho is designed to be cookie-less and GDPR-friendly by default (see our Privacy Policy). However, it is your responsibility to ensure that your use of CWho complies with the laws applicable to your users.

You remain the data controller for any personal data collected via the CWho snippet on your websites. CWho acts as a data processor on your behalf.

5. Subscriptions and Billing

Pricing and payment

Paid plans are billed monthly or annually in advance. Payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

Automatic renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time from the billing portal at /billing.

Refunds

We offer a 14-day money-back guarantee on all new paid subscriptions. If you are not satisfied within the first 14 days, contact us at support@cwho.com for a full refund. After 14 days, payments are non-refundable, except where required by law.

Price changes

We may change our pricing at any time. We will give you at least 30 days' notice of any price increase via email. Continued use of the Service after the price change takes effect constitutes acceptance of the new price.

Taxes

All prices are exclusive of applicable taxes. You are responsible for paying any taxes applicable to your purchase (e.g., VAT, sales tax).

Plan limits

Each plan has limits on the number of sites, monthly events, server agents, and other resources (see Pricing). If you exceed your plan's event limit, additional events will be dropped for the remainder of the billing month. We will send you a warning before you hit the limit.

6. Free Plan Limitations

The free plan is provided as-is, without any service level agreement (SLA). We reserve the right to modify, limit, or discontinue the free plan at any time with 30 days' notice. Free plan data may be deleted if your account is inactive for more than 12 consecutive months.

7. Intellectual Property

The Service, including all software, designs, text, graphics, and trademarks, is the exclusive property of World Corporation and its licensors. You may not copy, modify, or redistribute any part of the Service without our express written consent.

You retain ownership of your data (the analytics data collected from your sites). By using the Service, you grant us a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing the Service to you.

The CWho name, logo, and "See everything. One dashboard. All your sites." tagline are trademarks of World Corporation. You may not use them without prior written permission.

8. Confidentiality

We treat your account data and site data as confidential. We will not disclose your data to third parties except:

  • As required by applicable law, court order, or government request
  • To sub-processors necessary to provide the Service (see our Privacy Policy)
  • With your explicit consent
  • To protect the rights, property, or safety of CWho, its users, or the public

9. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance may cause brief downtime. We will provide advance notice of planned maintenance where practical.

We are not liable for any losses caused by downtime, data loss, or service interruptions. We recommend keeping independent backups of any critical data.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. UPTIME MONITORING RESULTS ARE BEST-EFFORT AND MAY NOT REFLECT ACTUAL SITE AVAILABILITY IN ALL SCENARIOS.

11. Limitation of Liability

Important: This section limits our liability to you. Please read it carefully.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORLD CORPORATION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless World Corporation and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms
  • Your use of the Service in violation of applicable law
  • Your collection of data from third parties without proper authorization or disclosures
  • Any content or data you submit to the Service

13. Termination

You may terminate your account at any time by deleting it from the Settings page or by emailing support@cwho.com. Upon termination, your data will be deleted within 90 days.

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • You fail to pay applicable fees and do not cure the failure within 7 days of notice
  • We are required to do so by law
  • We discontinue the Service

Upon termination for cause, you are not entitled to a refund of prepaid fees. Upon termination without cause by us, we will refund a prorated portion of any prepaid subscription fees.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. The arbitration shall take place in Lee County, North Carolina, USA.

You agree that any claim must be brought in your individual capacity, and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email to the address associated with your account at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and delete your account before the effective date.
